Services and products furnished by ("Seller"), are only sold on the Terms and Conditions stated herein, notwithstanding any Terms and Conditions on customers order, acceptance, or any other form. Seller's performance of any contract is made conditional on Customer's agreement to Seller's terms and Conditions unless otherwise specifically agreed to in writing by the Seller. In the absense of such agreement, commencement of performance and/or delivery shall be for the Customer's convenience only and shall not be deemed or construed to be acceptance of the Customer's terms and Conditions, or any of them. If a contract is not earlier formed by mutual agreement in writing, acceptance by Customer of any products or services shall be deemed acceptance of the Terms and Conditions stated herein. All contracts shall be construed under and governed by the laws of the Province of Ontario.

 

Return

No merchandise shall be accepted at our office for return without prior written approval (Return Authorization Number), from the Seller.

 

F.O.B

All sales are F.O.B. point of shipment, unless otherwise expressly stipulated, and all shipping charges are for the account of the buyer. Seller's reponsibility ceases upon delivery of shipment to carrier, and buyers are warned to notify the carrier in writing of any loss or damage to goods in transit. All shipments will be "Signature Required".

 

Warranty Plus

The following waranty is in effect; 90 days for defects in material and workmanship. During this period, a unit returned to our principal office will be repaired at no charge excepting surface freight, unless damaged by abusive use. Notwithstanding the foregoing, Seller shall have no obligation under this warranty to repair or replace any part or equipment which has been altered or repaired by Buyer, or Buyer's agent without the prior authorization of Seller. Warranties are F.O.B. office, Toronto, Ontario.

This warranty will only apply if the equipment has been installed according to the instructions issued by the Seller

Any claim for imperfect merchandise, shortage in count, or incorrectly supplied equipment shall be made within 5 days of delivery date, or the Buyer shall be deemed to have waived their right to such a claim.

 

Consequential Damage

Under no circumstances shall Seller be reponsible for, nor does this warranty extend to any incidental or consequential damage, whether foreseeable or not, arising out of, or connected with the use of the products by Buyer including, but not limited to, injuries to persons or property.

 

Terms of Payment

All orders are paid in full prior to shipping.

 

Deliveries

Delivery schedules are based on normal conditions. Seller does not assume responsibility for delays or preventions caused by fires, riots, acts of God, government orders, strikes, lockouts, available supplies of raw materials, transportation facilities, or other causes affecting production or delivery beyond our control.

 

This instrument constitutes the entire agreement between the Seller and Buyer; and it shall not be amended, altered or changed, except by a written agreement signed by the parties hereto.
